This letter is in response to the comments of the Securities and Exchange Commission (the “Commission”) provided in your letter dated November 12, 2008, related to the preliminary proxy statement (the “Proxy Statement”) to be furnished to the shareholders of FirstMerit Corporation (“FirstMerit,” “we” or “our”) in connection with the solicitation of proxies by the Board of Directors of FirstMerit to vote at the Special Meeting of Shareholders.
