ITEM 8.01 OTHER EVENTS.
On May 6, 2009, FirstMerit Corporation (the “Company”) entered into a Distribution Agency Agreement (the “Agreement”) with Credit Suisse Securities (USA) LLC (“Credit Suisse”), pursuant to which the Company may, from time to time, offer and sell shares of the Company’s common stock, no par value, having aggregate gross sales proceeds of up to $100,000,000 (the “Common Shares”), through Credit Suisse as sales agent. Sales of the Common Shares will be made by means of ordinary brokers’ transactions on the Nasdaq Global Select Market at market prices, in block transactions or as otherwise agreed with Credit Suisse.
Common Shares sold pursuant to the Agreement will be issued pursuant to a prospectus supplement filed with the Securities and Exchange Commission (the “Commission”) on May 6, 2009, to the accompanying prospectus filed with the Commission on February 6, 2009, as part of the Company’s Registration Statement on Form S-3 (File No. 333-157163) (the “Registration Statement”).
Under the terms of the Agreement, the Company may also sell some or all of the Common Shares to Credit Suisse as principal for its own account at a price agreed upon at the time of sale. If the Company sells Common Shares to Credit Suisse as principal, the Company will enter into a separate terms agreement setting forth the terms of such transaction and the Company will describe such terms agreement in a separate prospectus supplement or pricing supplement.
The Company is not obligated to sell and Credit Suisse is not obligated to buy or sell any Common Shares under the Agreement. No assurance can be given that the Company will sell any Common Shares under the Agreement, or, if it does, as to the price or amount of Common Shares that will be sold, or the dates when the sale of such shares will take place.
The Agreement is filed as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference. The foregoing description of the material terms of the Agreement and the transactions contemplated thereby does not purport to be complete and is qualified in its entirety by reference to such exhibit.
