On October 17, 2002, FLIR Systems, Inc. (the “Company”) issued a press release announcing (i) its financial results for the quarter and nine months ended September 30, 2002, (ii) its expectations as to revenue and net income for the year ending December 31, 2002, and (iii) the authorization of the Company’s Board of Directors for the Company to purchase up to 1,500,000 shares of the Company’s common stock from time to time in open market or privately negotiated transactions. The press release is attached hereto as Exhibit 99.1 and is incorporated in its entirety herein by reference.
