* Protective Life Corporation (the “Company”) became a wholly-owned subsidiary of The Dai-ichi Life Insurance Company, Limited, akabushiki kaisha organized under the laws of Japan (now known as Dai-ichi Life Holdings, Inc.) (“Dai-ichi”) on February 1, 2015 pursuant to the terms of an Agreement and Plan of Merger, dated June 3, 2014 (the “Merger Agreement”), among the Company, Dai-ichi and DL Investment (Delaware), Inc., a Delaware corporation and wholly-owned subsidiary of Dai-ichi (the “Merger Sub”). Pursuant to the terms of the Merger Agreement, as of February 1, 2015 all of the Company’s issued and outstanding shares of common stock, par value $0.50 per share, were cancelled and each share of common stock of the Merger Sub was converted into one share of the Company’s common stock, par value $0.01 per share. Except for the Company’s 8.45% Senior Notes due 2039 (for which there are approximately 54 record holders as of the date hereof), none of the Company’s securities previously registered with the Securities and Exchange Commission under the Securities Exchange Act of 1934 remain outstanding.
