Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
On June 12, 2017, the Board of Directors of Richardson Electronics, Ltd. (the “Corporation”) amended the By-laws of the Corporation. The newly added Article V, Section 10 designates the courts in Delaware to serve as the sole and exclusive venue for any stockholder to bring (a) any derivative action or proceeding brought on behalf of the Corporation, (b) any action asserting a claim of breach of a fiduciary duty owed by a director, officer, or employee of the Corporation to the Corporation or to the Corporation’s stockholders, (c) any action asserting a claim arising pursuant to any provision of the Delaware General Corporation Law or the Corporation’s certificate of incorporation or bylaws, or (d) any action asserting a claim governed by the internal affairs doctrine, unless otherwise consented to by Corporation.
