(b) On February 21, 2006, the Registrant was notified that Alex D. Zoghlin will resign from its Board of Directors immediately after its annual stockholders meeting on May 10, 2006. On February 27, 2006, the Registrant issued a press release announcing the resignation of Mr. Zoghlin, a copy of which is attached as Exhibit 99.1 hereto and is incorporated herein by reference.
