Item 2.03 Creation of a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement of a Registrant.
On March 13, 2008, United Stationers Supply Co. (“USSC”), a wholly owned subsidiary of United Stationers Inc., entered into an interest rate swap transaction (the “Swap Transaction”) with U.S. Bank Association as the counterparty. USSC entered into the Swap Transaction to mitigate USSC’s interest rate risk on $100 million of floating rate debt. Under the terms of the Swap Transaction, USSC is required to make quarterly fixed rate payments to the counterparty calculated based on a notional amount of $100 million at a fixed rate of 3.212%, while the counterparty is obligated to make quarterly floating rate payments to USSC based on the three-month London Interbank Offered Rate on the same referenced notional amount. The Swap Transaction has an effective date of March 31, 2008 and a termination date of June 29, 2012. The Swap Transaction effectively fixes the interest rate on $100 million of USSC indebtedness at 3.212% plus the applicable interest margin based on USSC’s leverage ratio under the Second Amended and Restated Credit Agreement (as amended) with PNC Bank, National Association and U.S. Bank National Association, as Syndication Agents, KeyBank National Association and LaSalle Bank, National Association, as Documentation Agents, and JPMorgan Chase Bank, National Association, as Agent. Notwithstanding the terms of the Swap Transaction, USSC is ultimately obligated for all amounts due and payable under the indebtedness.
