Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On July 28, 2008, the Registrant’s Board of Directors increased the size of the Board from nine to ten members and elected Daniel J. Connors to serve as a Class II director. The Governance Committee of the Board of Directors has not yet determined Committee memberships for Mr. Connors.
Mr. Connors will receive compensation pursuant to the Summary of Director Compensation which has been described and filed as an exhibit to the Company’s prior SEC filings.
A Press Release announcing the election of Mr. Connors to the Board of Directors of the Registrant is attached as Exhibit 99 and incorporated herein by reference.
