| Item 5.03 | Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year. |
On May 4, 2015, the Board of Directors of the Registrant approved an amendment to the Registrant’s Restated Articles of Incorporation that increased the number of shares of common stock the Registrant is authorized to issue from 20 million shares to 30 million shares. This amendment was made in conjunction with the board’s approval of a 3-for-2 stock split, to be effected through a 50 percent stock dividend, which was announced on May 7, 2015. The par value of the stock will remain at $1.00 per share. The Restated Articles of Incorporation were filed with Iowa Secretary of State on May 7, 2015, and became effective immediately.
