Pinnacle Entertainment Announces Public Offering of
$130 Million of Senior Subordinated Notes
LAS VEGAS, September 15, 2003 /PRNewswire-FirstCall/ — Pinnacle Entertainment, Inc. (NYSE: PNK—News) announced today that it intends to offer approximately $130 million of new senior subordinated notes under an effective shelf registration statement on file with the Securities and Exchange Commission. The net cash proceeds from the offering will be used to fund the Company’s purchase of all of its outstanding 9.5% Senior Subordinated Notes due August 2007 through a cash tender offer that was commenced on September 8, 2003 and/or a redemption of notes that are not tendered and accepted for purchase in the tender offer.
Bear, Stearns & Co. Inc. will act as sole book-running manager of the offering of the new senior subordinated notes. In addition, Banc of America Securities LLC, Lehman Brothers and SG Cowen will act as joint lead managers.
