This Registration Statement also covers 1,687,500 Rights to purchase one one-thousandth of a share of Series A Junior Participating Cumulative Preferred Stock, par value $100 per share which are appurtenant to and trade with the Common Stock. Article X of the Company’s Restated Certificate of Incorporation provides:
To the fullest extent from time to time permitted by law, directors or officers shall not be personally liable to the Corporation or its stockholders for damages for breach of any duty owed to the Corporation or its stockholders.
