On March 2, 2010, LTX-Credence Corporation (the “Company”) entered into an Underwriting Agreement (the “Underwriting Agreement”) with the several underwriters named in the Underwriting Agreement (the “Underwriters”) for which Barclays Capital Inc. is acting as representative, relating to the underwritten public offering of 15,500,000 shares (the “Shares”) of the Company’s common stock, $0.05 par value per share (the “Offering”). All of the Shares are being sold by the Company. The price to the public is $2.85 per share, and the Underwriters have agreed to purchase the Shares from the Company pursuant to the Underwriting Agreement at a price of $2.686 per share. Under the terms of the Underwriting Agreement, the Company granted the Underwriters a 30-day option to purchase up to an additional 2,325,000 shares of common stock to cover over-allotments, if any. The Underwriters exercised this option in full on March 3, 2010.
The Offering is being made pursuant to a shelf registration statement the Company filed with the Securities and Exchange Commission that became effective on November 18, 2009 (Registration No. 333-163030). A prospectus supplement relating to the offering has been filed by the Company with the Securities and Exchange Commission. The closing of the Offering is expected to take place on or about March 8, 2010, subject to the satisfaction of customary closing conditions. A copy of the Underwriting Agreement is filed as Exhibit 1.1 to this Current Report on Form 8-K and is incorporated herein by reference. The description of the material terms of the Underwriting Agreement is qualified in its entirety by reference to such exhibit.
The legal opinion and consent of Wilmer Cutler Pickering Hale and Dorr LLP relating to the Shares is filed as Exhibit 5.1 to this Current Report.
