Explanation of Responses:

1. The disposition of the common stock described in this filing reflects the amount of shares of common stock withheld for tax withholding purposes. Under the terms of the original RSU grant, 25% vested on August 26, 2013, 25% vested on August 26, 2014, 25% vested on August 26, 2015, and 25% will vest on August 26, 2016.

2. Each restricted stock unit (RSU) represents the right to receive one share of Xcerra Corporation common stock. Under the terms of the RSUs, units vest in four equal installments on August 27, 2016; August 27, 2017, August 27, 2018, and August 27, 2019.
