1. Included in this total are 23,409 shares held by Mr. Suits as Trustee of the Duane Suits Trust, 2,500 shares held in Mr. Suits' name alone in a brokerage account, 10,773 shares of restricted stock units and 5,000 shares of Performance Based restricted stock units in Mr. Suits name.

2. These shares represent Restricted Stock Units granted under the 2019 Long Term Equity Incentive Plan. These shares have a 3-year cliff vesting.
