Explanation of Responses:

1. The sale of the shares by Mr. Bridwell was made as part of Mr. Bridwell's long-term estate planning and investment diversification needs.

2. The sale of the shares by the charitable foundation was made in connection with a charitable gift by the foundation.

3. This indirect ownership represents shares owned by a charitable foundation in which Mr. Bridwell is trustee or co-trustee. Mr. Bridwell disclaims beneficial ownership of these securities, and this report shall not be deemed an admission that Mr. Briwell is the beneficial owner of such securities for purposes of Section 16 or any other purpose.

4. The reporting person is sole stockholder and sole director of this company.
