1. Reflects 94.75% vesting of performance-based restricted stock award granted February 19,2020 under the Trustmark Corporation Amended and Restated Stock and Incentive Compensation Plan. The performance period for the award ended on December 31, 2022 and vesting of the award was certified by the Human Resources Committee on February 14, 2023.

2. Shares withheld to satisfy tax withholding obligations in connection with vesting of performance-based restricted stock granted February 19, 2020.
