Item 5. Other Events.
M&T Bank Corporation announced on June 25, 2001 that its Board of Directors had authorized M&T Bank Corporation to repurchase up to 3,500,000 shares of its common stock, and disclosed that a previously reported repurchase program authorized in November 1999 had been completed on June 22, 2001, with the repurchase of an aggregate of 1,904,650 shares of common stock. The public announcement of the new stock repurchase program was made by means of a news release, the text of which is set forth in Exhibit 99 hereto.
