Section 5 – Corporate Governance and Management
Item 5.02 Departure of Directors of Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On February 4, 2016, the Board of Trustees (the “Board”) of First Real Estate Investment Trust of New Jersey (the “Trust”) approved the expansion of the size of the Board from eight Trustees to nine Trustees, and approved the appointment of Justin F. Meng, CFA as a Trustee to fill the vacancy created as a result of the expansion, for a term to expire at the Trust’s 2016 Annual Meeting. The Nominating Committee of the Board had approved the expansion of the Board and Mr. Meng’s appointment as a Trustee, and had recommended same to the Board.
Justin F. Meng is a Managing Partner at V3 Capital Management L.P., an investment firm focused on publicly-traded real estate securities that he co-founded in 2011. Previously, he was Partner and Head of REIT Research for High Rise Capital Management, L.P., where he worked from 2005-2011. From 2002 to 2005, Mr. Meng served as an Associate at J.P. Morgan Asset Management in the Real Estate Investment Group, where he worked both in the acquisitions and asset management departments. From 2000 to 2002, he served as an Analyst at J.P. Morgan Asset Management in their Fixed Income Group.
