SECTION 2- FINANCIAL INFORMATION

Item 2.03  Creation of a Direct Financial Obligation or an Obligation Under an Off-Balance Sheet Arrangement of a Registrant.

On May 10, 2006, Florida Power & Light Company (FPL) entered into a $250 million five-year term loan facility expiring in May 2011.  Under this term loan facility, on May 16, 2006, FPL borrowed $250 million, which bears interest at a variable rate and is due in May 2008.  The loan contains default provisions relating to failure to make required payments, certain events in bankruptcy, insolvency or reorganization, and other covenants of FPL.  The proceeds from the loan are being used for general corporate purposes.
