Florida Power & Light Company
$ Floating Rate Notes, Series due June 20, 2073
Florida Power & Light Company (“FPL”) will pay interest quarterly on the Floating Rate Notes, Series due June 20, 2073 (the “Notes”) at a rate equal to Compounded SOFR (as defined herein) minus 0.35%, subject to the provisions set forth under “Certain Terms of the Notes—Interest and Payment.” Interest on the Notes will be payable on March 20, June 20, September 20 and December 20 of each year, beginning September 20, 2023.
FPL, at its option, may redeem some or all of the Notes at any time on or after June 20, 2053 at the redemption prices listed in this prospectus supplement, plus any accrued and unpaid interest thereon to but excluding the redemption date. The holders of the Notes may require FPL to repay some or all of the Notes beginning on June 20, 2024, on every June 20 and December 20 thereafter through and including June 20, 2034 and thereafter on June 20 of every subsequent second year through and including June 20, 2070, at the repayment prices listed in this prospectus supplement, plus any accrued and unpaid interest thereon to but excluding the redemption date.
If there is a “tax event,” FPL has the right to shorten the maturity of the Notes to the extent required so that the interest FPL pays on the Notes will be deductible for United States federal income tax purposes. On the new maturity date, FPL will pay 100% of the principal amount of the Notes, plus any accrued and unpaid interest thereon to but excluding the new maturity date.
The Notes are unsecured and unsubordinated and rank equally with other unsecured and unsubordinated indebtedness of FPL from time to time outstanding.
FPL does not intend to apply to list the Notes on a securities exchange.
