On April 2, 2004, Massey Energy Company (the “Company”) issued a press release, attached as Exhibit 99.1 hereto, which is incorporated herein by reference, reporting the pricing of its private offering of $150.0 million aggregate principal amount of 2.25 % Convertible Senior Notes due April 1, 2024 (plus an additional $25.0 million aggregate principal amount subject to the option of the initial purchasers), to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1993.
