Corporation (the “Corporation”) hereby requests that its Registration Statement on Form S-4 filed on October 8, 2015 (File No. 333-207334) as amended on November 23, 2015 (the “Registration Statement”), be made effective at 10:00 a.m. Eastern Time on November 25, 2015, or as soon thereafter as practicable.
In connection with the foregoing request for acceleration of effectiveness, the Corporation hereby acknowledges the following:
1. Should the Securities and Exchange Commission (the “Commission”) or the staff, acting pursuant to delegated authority, declare the filing effective, it does not foreclose the Commission from taking any action with respect to the filing;
