Explanation of Responses:

1. These Ford Stock Units result from dividend equivalents credited to my account by the Company, without payment by me, under the Company's 2014 Stock Plan for Non-Employee Directors. In general, these Ford Stock Units will be converted into shares of Ford common stock and distributed to me, without payment, on the earlier of 5 years from the grant date to which the dividend equivalent relates and separation from the Board.
