Item 2.02 Results of Operations and Financial Condition.
On May 13, 2009, Forest City Enterprises, Inc. (the “Company”) issued a press release providing estimated first-quarter 2009 EBDT (earnings before depreciation, amortization and deferred taxes) and comparable property net operating income (NOI). A copy of the press release is furnished as Exhibit 99.1 to this report and is incorporated into this Item 2.02 by reference.
Item 7.01 Regulation FD Disclosure.
On May 13, 2009, the Company issued a press release announcing the proposed offering of 40 million shares of its Class A common stock in an underwritten public offering pursuant to its effective shelf registration statement previously filed with the Securities and Exchange Commission (the “Offering”). The Company also announced that it expects to grant the underwriters of the Offering an option for 30 days to purchase up to 6 million additional shares of its Class A common stock to cover overallotments, if any. Merrill Lynch & Co., Goldman, Sachs & Co. and Morgan Stanley will serve as the joint book-running managers.
The Company plans to use the net proceeds from the Offering to repay borrowings under its $750 million revolving credit facility and, if proceeds remain, for general corporate purposes.
