Item 1.01 Entry into a Material Definitive Agreement.
On January 31, 2008, Forest City Rental Properties Corporation ("FCRPC"), a wholly owned subsidiary of Forest City Enterprises, Inc. (the "Company"), requested KeyBank National Association ("KeyBank") as Administrative Agent under the Amended and Restated Credit Agreement dated June 6, 2007 by and among FCRPC, KeyBank, National City Bank, as Syndication Agent, Bank of America, N.A. and LaSalle Bank National Association, as Co-Documentation Agents, and the various banks party thereto (the "Credit Agreement") to increase the total availability under the revolving line of credit by $30,000,000 to $750,000,000 pursuant to Section 5.07(a) of the Credit Agreement. The increase in availability was effected by increasing the commitments of certain banks presently parties to the Credit Agreement.
Certain of the lenders under the Credit Agreement and their affiliates have performed, and may in the future perform, various commercial banking, investment banking and other financial advisory services for the Com pany and its subsidiaries for which they have received, and will receive, customary fees and expenses.
