Item 2.03 Creation of a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement of a Registrant.
On August 5, 2020, Intelligent Product Solutions, Inc. (“IPS”), the wholly-owned subsidiary of Forward Industries, Inc. (the “Company”), and TD Bank, N.A. have extended the maturity date of its existing $1.3 million revolving line of credit (the “Revolving Loan”) to May 31, 2021. As previously disclosed, the Revolving Loan is: (i) secured by IPS’ assets, (ii) bears an interest rate of the Wall Street Journal Prime Rate plus 0.75 and (iii) guaranteed by the Company. As of the date of this Current Report on Form 8-K, there was $300,000 available under the Revolving Loan. The proceeds of the Revolving Loan are being used for working capital.
