Explanatory Note
This amendment is being filed to include the correct version of the press release that was issued by GATX on January 29, 2016.
Item 8.01 Other Events.
On January 29, 2016, the Board of Directors (the “Board”) of GATX Corporation (the “Company”) authorized the expenditure of up to $300 million to repurchase shares of the Company’s common stock from time to time on an opportunistic basis in the open market, in privately negotiated transactions, or otherwise. This share repurchase authorization does not establish a deadline for completing any repurchases, and it does not obligate the Company to repurchase any dollar amount or number of shares of common stock. A press release announcing the share repurchase program was issued and is attached hereto as Exhibit 99.1 and is incorporated by reference herein.
