Item 7.01 Regulation FD Disclosure.
On March 26, 2021, the Company issued a press release announcing the conclusion of the antitrust regulatory process for its pending $175 million acquisition of Georgia-Pacific’s U.S nonwovens business based in Mount Holly, NC, together with an R&D center and pilot line for nonwovens product development in Memphis, TN. The expiration of the waiting period for regulatory review satisfies one of the conditions to the closing of the proposed acquisition, which remains subject to other customary conditions. The transaction is expected to close by May 31, 2021 after all other customary closing conditions have been met. A copy of the press release is attached as Exhibit 99.1 and incorporated herein by reference.
