Item 1.01. Entry into a Material Definitive Agreement
On October 20, 2004, Energy West, Incorporated (the "Company") executed a
letter agreement effective as of September 28, 2004 amending its existing credit
facility (the "Credit Agreement") with certain lenders and LaSalle Bank National
Association, as agent for such lenders. The letter agreement provides for the
extension of the deadline to deliver audited financial statements for fiscal
2004 from September 28, 2004 to October 29, 2004.
