ITEM 7.01. | REGULATION FD DISCLOSURE. |
American Airlines Group Inc. (the “Company”) is providing an update regarding its financial and operational guidance for the third quarter of 2023. Fuel prices have increased considerably since the Company’s initial third-quarter guidance issued on July 20, 2023. The Company now expects to pay an average of between $2.90 and $3.00 per gallon of jet fuel1 in the third quarter. As a result of its continued strong operating performance, the Company now expects its third-quarter capacity to be at the high end of its initial guidance, or up approximately 6% to 7% versus the same period in 2022. Total revenue for the third quarter is expected to be approximately flat to prior expectations, with the mid-point of year-over-year TRASM2 approximately 0.5 points lower compared to previous guidance. Third-quarter CASM-ex3 is now expected to be at the better end of the Company’s previous guidance range provided on August 22, 2023.
Based on these updated assumptions, the Company expects its third-quarter adjusted operating margin4 to be approximately 4.0% to 5.0% and adjusted earnings per diluted share5 to be between approximately $0.20 and $0.30. As previously disclosed, the ratification of a new collective bargaining agreement by the mainline pilots represented by the Allied Pilots Association resulted in retroactive pay expense of approximately $230 million to be recognized in the third quarter. This retroactive pay expense is expected to impact third-quarter adjusted operating margin by approximately 1.7 points and adjusted earnings per diluted share by $0.23. The remainder of the adjustment to the Company’s updated outlook is driven by higher fuel prices in the quarter.

Shares outstanding are based upon several estimates and assumptions, including average per share stock price and stock award activity. The number of shares in actual calculations of earnings per share will likely differ from those set forth above.
The Company does not intend to provide a further update to its financial and operational guidance until the release of its third-quarter 2023 results.
Certain components of the guidance provided exclude fuel and net special items. The updated guidance provided herein is presented to provide comparability with prior guidance. The Company is unable to fully reconcile this forward-looking guidance to the corresponding GAAP measures because the full nature and amount of net special items cannot be determined at this time.

Non-GAAP Financial Information and Financial Guidance
The Company sometimes uses financial measures that are derived from the condensed consolidated financial statements or otherwise provided in the form of guidance but that are not presented in accordance with GAAP to understand and evaluate its current operating performance and to allow for period-to-period comparisons. The Company believes these non-GAAP financial measures may also provide useful information to investors and others. These non-GAAP measures may not be comparable to similarly titled non-GAAP measures of other companies, and should be considered in addition to, and not as a substitute for or superior to, any measure of performance, cash flow or liquidity prepared in accordance with GAAP. Management uses these non-GAAP financial measures to evaluate the Company's current operating performance and to allow for period-to-period comparisons. As net special items may vary from period-to-period in nature and amount, the adjustment to exclude net special items allows management an additional tool to understand the Company’s core operating performance. Additionally, management uses CASM excluding net special items and fuel, adjusted operating margin and adjusted earnings per diluted share, among others, to evaluate the Company's current operating performance and for period-to-period comparisons. The price of fuel, over which the Company has no control, impacts the comparability of period-to-period financial performance. The adjustment to exclude fuel and net special items allows management an additional tool to understand and analyze the Company’s non-fuel costs and core operating performance. The Company does not provide a reconciliation of forward-looking measures where the Company is unable to reasonably predict certain items contained in the GAAP measures without unreasonable efforts. This is due to the inherent difficulty of forecasting the timing or amount of various items that have not yet occurred and are out of the Company's control or cannot be reasonably predicted. For the same reasons, the Company is unable to address the probable significance of the unavailable information.
