On May 6, 2020 Tracey L. McKenzie, Harsco Corporation’s (the “Company”) Senior Vice President & Chief Human Resources Officer, submitted her resignation from the Company in order to pursue other interests, effective June 30, 2020.
The Company expects to enter into a consulting agreement with Ms. McKenzie as of July 1, 2020 (the “Consulting Agreement”). The Consulting Agreement will provide that Ms. McKenzie will serve as a consultant for the Company for a period of six months, and shall provide the Company with a general release of claims, in exchange for a one time payment of four hundred thousand dollars ($400,000). The foregoing summary of the Consulting Agreement is qualified in its entirety by reference to the full text of the form of agreement, a copy of which is attached as Exhibit 10.1 to this Current Report on Form 8-K and incorporated herein by reference.
