On August 11, 2015, The Hershey Company (the “Company”) commenced cash tender offers for up to $100 million aggregate purchase price of its $100 million outstanding 8.80% Debentures due 2021 (the “2021 Debentures”) and its $250 million outstanding 7.20% Debentures due 2027 (the “2027 Debentures” and, together with the 2021 Debentures, the “Debentures”). This Current Report on Form 8-K is not an offer to purchase or a solicitation of an offer to sell any of the Debentures. A copy of the Company’s press release announcing the tender offers is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
