This Amendment No. 1 on Form8-K/A (“Amendment No. 1”) is being filed by Humana Inc. (the “Company”) to amend the Current Report on Form8-K filed with the Securities and Exchange Commission on April 21, 2017 (the “Initial Report”). The sole purpose for filing this Amendment No. 1 is to disclose the Company’s Board of Directors’ determination with respect to the frequency of future stockholdernon-binding advisory votes on the compensation of the Company’s named executive officers. No other changes have been made to the Initial Report.
Item 5.07 Submission of Matters to a Vote of Security Holders
(d) The Company’s Board of Directors has considered the stockholder vote and management’s recommendation regarding the frequency of future stockholder advisory votes on the compensation of the Company’s named executive officers and, at a meeting of the Board of Directors on June 29, 2017, adopted management’s and the stockholders’ recommendation of continuing to hold an annual advisory vote on the compensation of the Company’s named executive officers until the next required vote on this matter, which will occur no later than the Company’s Annual Meeting of Stockholders in 2023, or until the Board of Directors otherwise determines that a different frequency for such advisory votes is in the best interests of the stockholders of the Company.
