(b)           On May 7, 2013, American Express Company (“American Express” or the “Company”) announced that Daniel T. Henry will be leaving American Express after a distinguished 23-year career with the Company. Mr. Henry will remain in his role as Executive Vice President and Chief Financial Officer of the Company until a new Chief Financial Officer is appointed. A copy of the press release regarding Mr. Henry is attached as Exhibit 99.1 to this Current Report on Form 8-K.
