This is an offering by Aflac Incorporated of ¥12,600,000,000 principal amount of its 0.500% Senior Notes due 2029 (the “2029 notes”), ¥9,300,000,000 principal amount of its 0.843% Senior Notes due 2031 (the “2031 notes”), ¥9,800,000,000 principal amount of its 0.934% Senior Notes due 2034 (the “2034 notes”) and ¥6,300,000,000 principal amount of its 1.122% Senior Notes due 2039 (the “2039 notes” and, together with the 2029 notes, the 2031 notes and the 2034 notes, the “ notes”). We will pay interest on the notes semi-annually in arrears on each June 17 and December 17, beginning on June 17, 2020, except that the final interest payment dates in 2034 and 2039 will be the respective maturity dates. The 2029 notes will mature on December 17, 2029, the 2031 notes will mature on December 17, 2031, the 2034 notes will mature on December 15, 2034 and the 2039 notes will mature on December 16, 2039.
We may redeem some or all of any series of notes after the applicable par call date for such series at par plus accrued interest to the redemption date as described under the caption “Description of the Notes—Optional Redemption” in this prospectus supplement, and we may redeem the notes if certain events occur involving United States taxation as described under the caption “Description of the Notes—Tax Redemption” in this prospectus supplement.
The notes will be our general unsecured obligations and will rank equally in right of payment with any of our existing and future unsecured senior indebtedness. The notes will be issued only in denominations of ¥100,000,000 and integral multiples of ¥10,000,000 in excess thereof.
The notes will not be listed on any securities exchange. Currently, there is no public market for the notes.
