The Company issued a press release on May 19, 2005 which announced it has entered into an agreement with Casto Lifestyle Properties, L.P. ("Casto") to pursue a joint venture for the development of a commercial mixed-use shopping center project on approximately 50 acres currently owned by the Company.
A copy of the press release is attached as an exhibit.
