Explanation of Responses:

1. The Restricted Stock Units convert to AIG Common Stock on a 1-to-1 basis.

2. Represents the grant of Restricted Stock Units. One third of the Restricted Stock Units vest on each of the third, fourth and fifth anniversary of the grant date (December 8, 2023; December 8, 2024; and December 8, 2025), each subject to the reporting person's continued employment through each applicable vesting date, and are settled in shares of AIG Common Stock. The award includes dividend equivalent rights payable in the form of additional Restricted Stock Units.
