Explanation of Responses:

1. Reflects the AIG Compensation and Management Resources Committee's determination on February 18, 2025 as to the amount of performance share units granted in 2022 that were earned based on pre-established performance goals for the three-year performance period ended December 31, 2024.

2. Represents the grant of 2025 Stock Options. One third of the 2025 Stock Options vests on each of the first, second and third anniversaries of the grant date, subject to the reporting person's continued employment through each applicable vesting date.
