Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
The stockholders of Furmanite Corporation (the "Company") approved the Furmanite Corporation 1994 Stock Incentive Plan, as amended and restated March 4, 2009 (the "Plan"), at the annual meeting of the Company’s stockholders held on May 28, 2009 (the "Annual Meeting"). The Plan authorizes the grant of equity-based compensation to (1) the Company’s key employees in the form of incentive stock options; (2) the Company’s employees, consultants, advisors and directors, who have substantial responsibility for the management and growth of the Company or its affiliates in the form of non-qualified stock options and restricted stock; and (3) participants and former participants in certain Kaneb Services Inc. Deferred Compensation Plans in satisfaction of the Company’s obligations thereunder in the form of shares of the Company’s common stock, without par value (the "Common Stock"). The Plan authorizes an additional 2,500,000 shares of Common Stock which may be granted as awards un der the Plan and a total of 2,500,952 shares of Common Stock are currently available for issuance under the Plan. The Plan is to be administered by the Compensation Committee (the "Compensation Committee") of the Company’s Board of Directors.
