of Common Stock Offering by Grupo TMM, S.A.

Kansas City, Mo., December 6, 2005- Kansas City Southern (KCS) (NYSE:KSU) today announced that its largest shareholder, Grupo TMM, S.A., has priced a public offering of 9 million shares of KCS’ common stock at $23.25 per share. All shares are being sold by Grupo TMM. The offering is being made under the company’s existing shelf registration statement.
The issuance and delivery of the shares is expected to occur on December 9, 2005, subject to satisfaction of customary closing conditions. KCS will not receive any proceeds from the offering.
Morgan Stanley was the sole book-running manager for the offering. This offering is being made only by means of a prospectus.
