Item 8.01 - Other Events.
On November 23, 2004, our board of directors declared a fourth-quarter dividend of 23 cents per share payable January 3, 2005, on the company’s common stock. The board also declared regular quarterly dividends on the company’s 4.25 percent, 4.5 percent and 5 percent series preferred stocks payable January 1, 2005. The dividends are payable to shareholders of record as of December 9, 2004. A copy of our press release dated November 23, 2004 is attached hereto as exhibit 99.1 and is incorporated herein by reference.
