Explanation of Responses:

1. 58,485,674 shares were owned following the reported transaction by the W.K. Kellogg Foundation Trust (the "Trust") of which LaJune Montgomery Tabron, Steve Cahillane, Ramon Murguia and The Northern Trust Company are Trustees and the W.K. Kellogg Foundation (the "Foundation") is the sole beneficiary.

Remarks:

The sales reported on this Form 4 were made pursuant to trading instructions given by the W.K. Kellogg Foundation Trust made to a specific resolution of the Trustees at the February 14, 2022 meeting during an open window period when none of the trustees was in possession of material nonpublic information.
