Item 2.03. Creation of a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement of a Registrant.
On January 22, 2008, Berry Plastics Corporation (“the Company”), entered into a three-year interest rate swap agreement, with a notional amount of $300 million, in order to hedge the interest rate variability of the Company’s debt.
Under the three-year interest rate swap agreement, which has a notional amount of $300 million, the Company has agreed to pay a fixed interest rate of 2.962%, beginning on February 5, 2008 through February 7, 2011, in exchange for receiving floating payments based on three-month LIBOR on the same $300 million notional amount for the same three-year period.
