On January 18, 2008, and following approval by the Registrant’s shareholders, the Registrant filed with the Delaware Secretary of State an amendment to Keystone’s Amended and Restated Certificate of Incorporation to increase the number of authorized shares of common stock from 11,000,000 shares to 20,000,000 shares, as previously proposed in the Registrant’s proxy statement filed on January 7, 2008.
Exhibit 99.1 of this Form 8-K includes Keystone’s Amended and Restated Certificate of Incorporation, as amended through January 18, 2008.
