Explanation of Responses:

1. On 7/15/2002, the Reporting Person filed a Form 4 mistakenly reporting a grant of 36,980 shares of common stock, of which 10,643 shares were mistakenly noted to pay tax liability. In fact, as reported in this amendment, the Reporting Person received a grant of 30,377 shares of common stock, of which 8,743 shares are noted to pay tax withholding.
