The following information is being furnished pursuant to Item 9 – Regulation FD Disclosure and Item 12 – Results of Operations and Financial Condition.
On April 11, 2003, Lance, Inc. (the “Company”) issued a press release regarding the discontinuation of a product line and statements related to earnings for the first quarter and full year 2003. The statements related to earnings for the first quarter and full year 2003 are being furnished pursuant to Item 12 of Form 8-K “Results of Operations and Financial Condition.” The press release contains forward-looking statements regarding the Company and includes a cautionary statement identifying important factors that could cause actual results to differ materially.
On April 11, 2003, the Company held a conference call to discuss the issues contained in the press release being furnished herewith. During that conference call the Company used the term “free cash flow.” As used by the Company, the term “free cash flow” is defined as “Increase (decrease) in cash and cash equivalents” as included in the Company’s Condensed Consolidated Statements of Cash Flows.
