Item 7.01 Regulation FD Disclosure
On September 25, 2019, Lannett Company, Inc. (the “Company”) issued a press release announcing the pricing of $75,000,000 aggregate principal amount of 4.50% convertible senior notes due 2026 (the “Notes”) in a private placement to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended. The Company has also granted the initial purchaser of the Notes a 30-day option to purchase up to an additional $11,250,000 of the Notes on the same terms and conditions, for a total potential offering size of up to $86,250,000. In connection with the pricing of the Notes, the Company entered into capped call transactions with an affiliate of the initial purchaser and certain other financial institution.
