Explanation of Responses:

1. On February 8, 2024, the Reporting Person transferred 956 shares of Eli Lilly and Company common stock to a spousal lifetime access trust, of which the Reporting Person's wife is the trustee and the Reporting Person's wife and children are beneficiaries. The Reporting Person disclaims beneficial ownership of the reported securities except to the extent of his pecuniary interest therein and this report shall not be deemed an admission that the Reporting Person is the beneficial owner of the reported securities for purposes of Section 16 or for any other purpose.
