Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
Jill S. Ruckelshaus, a current director and nominee for director at this year’s Annual Meeting of Shareholders to be held on May 10, 2007, informed us on April 25, 2007 that she will be unable to stand for re-election to the Board of Directors for health reasons and is resigning as a director effective as of the Annual Meeting. Ms. Ruckelshaus is a member of the Corporate Governance Committee.
