Explanatory Note
This Amendment No. 1 on Form 8-K/A (the “Amendment”) is being filed by Lincoln National Corporation (the “Company”) to amend the Current Report on Form 8-K filed by the Company with the Securities and Exchange Commission on August 20, 2020 (the “Original Report”), solely to supplement Item 5.02 of the Original Report to include additional disclosure regarding board committee assignments. This Amendment does not otherwise amend, update or change any other disclosure contained in the Original Report.
Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
As previously reported in the Original Report, on August 18, 2020, Reginald E. Davis was elected to serve on the Board of Directors of the Company (the “Board”) effective August 19, 2020. On November 11, 2020, Mr. Davis was appointed to the Audit Committee and the Corporate Governance Committee of the Board effective November 12, 2020.
